It is not possible to move, rename, or migrate a physical Exchange server from one organization to another or one domain to another.  This has to do with the way Exchange prepares the environment at the time of installation/configuration.  

The solution is to build a new Exchange server in the target environment, and then use Exchange Migrator to move the old mailboxes from the source Exchange server to target Exchange server.
